Alegion AI, Inc. (“Alegion”, “we”, “us”, or “our”) recognizes the importance of privacy. In this Privacy Policy, we describe how we collect, use, and disclose information that we obtain about users (“you”) of our Services. Our “Services” collectively include our website https://www.alegion.com/ (the “Site”), the Alegion AI platform (the “Platform”), the services available through our Site and Platform, and any similar services that we provide to Customers and Workers (as defined below) whether online or offline.

Users of our Services include both Customers and Workers. “Customers” are individuals or entities that use our Services to request that a Worker perform one or more job(s) or service(s) (each, a “Project”). “Workers” are individuals or entities that use our Services in order to perform Projects for a Customer. We may obtain services from Workers through a third-party platform; in such cases, in addition to this Privacy Policy, the privacy policy of that third-party platform will apply. This Privacy Policy applies only to how Alegion collects, uses, and discloses information. It does not apply to the privacy practices of our Customers or third-party platforms.

By using any of our Services, you agree that any information that we collect from or about you through our Services will be handled as described in this Privacy Policy. Your use of our Services, and any dispute over privacy, is subject to this Privacy Policy and any other applicable terms, including our Acceptable Use Policy and any Agreement, including applicable limitations on damages and the resolution of disputes.

Information We Collect

We collect information about you directly from you, from third parties, and automatically through your use of our Services. We may combine information collected from or about you from these various sources.

This policy applies to information we collect:

  • On our Site or through our Platform
  • In email, text, and other electronic messages between you and our Site
  • When you interact with our advertising and applications on third-party websites and services, if those applications or advertising include links to this policy
  • API (usage is logged)
  • Customer data collected via HubSpot

It does not apply to information collected by:

  • Us offline or through any other means, including on any other website operated by any third party (including our affiliates and subsidiaries)
  • Any third party (including our affiliates and subsidiaries), including through any application or content (including advertising) that may link to or be accessible from or on the Website

Information We Collect Directly From You. We collect information about you directly from you. The information we collect varies depending on your interaction with our Services.

For example, if you are a Customer and register to use our Services, we will collect your name, email address, phone number, and company name. We also collect information on the Projects you submit (such as type, scale, qualifications and other information necessary to post the Project and/or find Worker(s) to perform the Project). We may also collect certain information from Customers related to any Projects they submit through the Services that are necessary to facilitate performance of such Projects.

If you are a Worker, depending on the nature of the services you provide, we may collect your name, address, phone number, information about the Projects you assist with, country of residence, driver’s license information, or financial account information. We will also collect any other information that you choose to provide to us through our Services, such as payment information; your name, email address, and contents of any message you send to us through our Services; or responses to any surveys.

Information We Collect from Third Parties. We may collect information about you from other sources and add it to the other information we collect, directly or automatically, about you. This information may include, without limitation, information from public records; name and contact information about Customers from lead generation sources; and information about Workers, such as user name and skills, from a Worker’s employing entity, accreditations, qualifications, education, and other relevant information. In addition, Workers may be able to log in to our Services through a third-party platform. Before doing so, Workers should review any applicable privacy notice for more information on the privacy practices of any such third parties.

Information We Collect Automatically Through Our Site. We automatically collect information about you through your use of our Services, including, but not limited to, your IP address, the type of browser you are using, the website or application that led you to our Services, the website or application to which you go after leaving our Services, and the dates and times you access our Services.

The information we collect automatically is statistical data and does not include Personal Data, but we may maintain it or associate it with Personal Data we collect in other ways or receive from third parties. It helps us to improve our Site and to deliver a better and more personalized service by enabling us to:

  • estimate our audience size and usage patterns;
  • store information about your preferences, allowing us to customize our Site according to your individual interests;
  • speed up your searches; and
  • recognize you when you return to our Website.

We may combine automatically collected information with other information that we collect about you. Please see our Cookies and Other Tracking Mechanisms section below for more information about tracking.

User-Generated Content

You should not post private details about Project(s). You may, however, post or upload materials to our Site and Platform, such as reviews, blog posts, and comments. If you post such content on our Site and Platform, as well as other information, such as your user name, it may be available to all visitors to our Site and Platform, and we cannot prevent such information from being used in a manner that may violate this Privacy Policy, our Acceptable Use Policy, Master Agreement, the law, or your personal privacy.

How We Use Your Information

We may use the other information we collect, including personal information and Project-related information, for the following purposes:

Providing and Improving Our Services. To provide and maintain our Services, including to tailor content to you; to improve our Services; to develop new features, products, or services; to authenticate users; to perform technical operations, such as updating software; and for other service- and support-related purposes.

Communications. To communicate with you (including by email) about your account and use of our Services, including to send you product or service updates; to respond to your inquiries; to provide you with news and newsletters, special offers, promotions, invitations, and other information we think may interest you about Alegion, our Services, and other third-party products or services. Please see Your Choices below for more information about communications from us.

Research and Analytics. To analyze how you interact with our Services; to monitor and analyze usage and activity trends; and for other research, analytical, and statistical purposes. Please note that we may track information about Project type and scale, Customer usage and volume, Worker performance, and similar information – but we will not use private details about Projects for such purposes.

Protecting Rights and Interests. To protect the safety, rights, property, or security of you, Alegion, the Services, any third party, or the general public; to detect, prevent, or otherwise address fraud, security, or technical issues; to prevent or stop activity that Alegion, in its sole discretion, may consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity; to use as evidence in litigation; and to enforce this Privacy Policy, our Acceptable Use Policy, and the Master Agreement.

Legal Compliance. To comply with applicable legal or regulatory obligations, including as part of a judicial proceeding; to respond to a subpoena, warrant, court order, or other legal process; or as part of an investigation or request, whether formal or informal, from law enforcement or a governmental authority.

Lawful Basis for Processing Your Personal Data

If you are in the European Union, the processing of your Personal Data is lawful only if it is permitted under the applicable data protection laws. We have a lawful basis for each of our processing activities:

  • Consent. By using our Services, you consent to our collection, use, and sharing of your Personal Data as described in this privacy policy. If you do not consent to this privacy policy, please do not use the Services.;
  • Legitimate Interests. We will process your Personal Data as necessary for our legitimate interests. Our legitimate interests are balanced against your rights and freedoms and we do not process your Personal Data if your rights and freedoms outweigh our legitimate interests. Specifically, our legitimate interests are to: facilitate communication between Alegion and you; detect and correct bugs and to improve our Services; safeguard our IT infrastructure and intellectual property; detect and prevent fraud and other crime; promote and market our business; to manage our workforce, assets, and business; develop our product and services; internal training.
  • To Fulfill Our Obligations to You under our Contract. We process your Personal Data in order to fulfill our obligations to you pursuant to our Contract with you to deliver our goods and services to you. Specifically: We process your data in accordance with the platform terms governing the underlying contract.
  • As Required by Law. We may also process your Personal Data when we are required or permitted to by law; to comply with government inspection, audits, and other valid requests from government or other public authorities; to respond to legal process such as subpoenas; or as necessary for us to protect our interests or otherwise pursue our legal rights and remedies (for instance, when necessary to prevent or detect fraud, attacks against our network, or other criminal and tortious activities), defend litigation, and manage complaints or claims.

Special Categories of Information

Alegion does not ask you to provide, and we do not knowingly collect, any special categories of Personal Data from you. Some Personal Data processed by us may be considered sensitive, including personal data that reveals your racial or ethnic origin, political opinions, religious, philosophical beliefs, or trade unions membership, or the processing of data concerning your health or data concerning your sex life or sexual orientation or history of criminal convictions. Alegion processes this information only to the extent necessary to carry out its obligations under the law or to the extent necessary to protect our legitimate interests.

Automated Decision Making

Alegion does not use your Personal Data with any automated decision making process.

Data Protection Officer

At this time, Alegion is not required to appoint a Data Protection Officer or a representative in the EU and has elected not to do so.

How We Disclose Your Information

We may disclose your information, including personal information and Project-related information, as follows:

Consent. We may disclose Project-related information with your permission or in accordance with the notice provided to you at the time of collection or disclosure of such information.

Facilitate Projects. We may disclose your information in order to facilitate a Project in which you are involved, have submitted or requested, or may be invited to contribute to. For example, if you are a Customer, we may share information about you with a Worker in order to facilitate that Worker’s completion of a Project.

Affiliates. We may disclose your information to current or future affiliates or subsidiaries for research, marketing, and other purposes consistent with this Privacy Policy.

Service Providers. We may disclose your information to our vendors, service providers, agents, or others who perform functions on our behalf. For example, we may disclose your information to help facilitate work and workflow, analyze data, or process payments.

Other Third Parties. As noted above, we may also send you emails with news, offers or other information related to third parties, and third party products and services. When we do this, we do not give that business your personal information; however, if you respond to an offer or communication about a third party, or third-party product or service, that third party may receive your information directly. Please see the Your Choices section below for details on opting out of such communications from us.

Business Transfers. We may disclose your information to another entity in connection with, including during negotiations of, an acquisition or merger, sale or transfer of a business unit or assets, bankruptcy proceeding, or as part of any other similar business transfer.

Protecting Rights and Interests. We may disclose your information to protect the safety, rights, property, or security of you, Alegion, the Services, any third party, or the general public; to detect, prevent or otherwise address fraud, security, or technical issues; to prevent or stop activity which Alegion, in its sole discretion, may consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity; to use as evidence in litigation; and to enforce this Privacy Policy, our Acceptable Use Policy, and the Master Agreement.

Cookies And Other Tracking Mechanisms

We and our service providers use cookies and similar technologies (e.g., HTML5 local storage, clear GIFs) to track information about your use of our Services. We or our service providers may combine this information with other information, including personal information, we collect about you. Certain aspects of our Services may require that you keep cookies and tracking mechanisms enabled.

Cookies. For example, we or our service providers may use cookies to track visitor activity on our Site. A cookie is a text file that a website transfers to your computer’s hard drive for record-keeping purposes. We or our service providers may use cookies to track user activities on our Site, such as the pages visited and time spent on our Site. Most browsers allow users to refuse cookies. The Help portion of the toolbar on most browsers will tell you how to prevent your computer from accepting new cookies, how to have the browser notify you when you receive a new cookie, or how to disable cookies altogether. Visitors to our Site who disable cookies may not be able to browse certain areas of the Site.

Clear GIFs, pixel tags, and other technologies. Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies. In contrast to cookies, which are stored on your computer’s hard drive, clear GIFs are embedded invisibly on web pages. We may use clear GIFs (also known as web beacons, web bugs or pixel tags), in connection with our Site to, among other things, track the activities of Site visitors, help us manage content, and compile statistics about Site usage. We and our third party service providers also use clear GIFs in HTML emails to our customers, to help us track email response rates, identify when our emails are viewed, and track whether our emails are forwarded.

Third-Party Analytics And Tracking

We may use third-party analytics companies, including without limitation Google Analytics. We use these tools to help us understand use of, and to improve, our Services, performance, and user experiences. These entities may use cookies and other tracking technologies, such as web beacons or local storage objects (LSOs), to perform their services. Interest-Based Advertising

We work with third parties such as network advertisers to serve advertisements on third-party websites or other media (e.g., social networking platforms) and to analyze the effectiveness of our ad campaigns. These third parties use cookies and other technology to collect information about your visit to our Site and other websites, and we may provide these third-party advertisers with information, including personal information, about you. This enables us and these third parties to better target advertisements to you for products and services in which you might be interested. These third parties’ information practices are governed by their own privacy policies, not this one.

Users in the United States may opt out of many third-party ad networks. For example, you may go to the Digital Advertising Alliance (“DAA”) Consumer Choice Page for information about opting out of interest-based advertising and your choices regarding having information used by DAA companies. You may also go to the Network Advertising Initiative (“NAI”) Consumer Opt-Out Page for information about opting out of interest-based advertising and your choices regarding having information used by NAI members.

Opting out from one or more companies listed on the DAA Consumer Choice Page or the NAI Consumer Opt-Out Page will opt you out from those companies’ delivery of interest-based content or ads to you, but it does not mean you will no longer receive any advertising through our Site or on other websites. You may continue to receive advertisements, for example, based on the particular website that you are viewing (i.e., contextually based ads). Also, if you later delete your cookies, your opt out may not be effective. Third-Party Links

Our Services may contain links to third-party websites and applications. Any access to and use of such linked websites and applications may not be governed exclusively by this Privacy Policy and may be governed instead by, or in addition to, the privacy policies of those third parties. We are not responsible for the information practices of such third-party websites or applications and encourage you to read the privacy policies of all websites and applications that you use.

Security

We have taken steps to help protect the personal information we collect. However, no data security measures can guarantee 100% security. You should take steps to protect against unauthorized access to your device and account by, among other things, choosing a robust password that nobody else knows or can easily guess and keeping your log-in and password private. We are not responsible for any lost, stolen, or compromised passwords or for any activity on your account via unauthorized password activity.

Your Choices

Accessing, Modifying, Restricting Processing, Objection to Processing, Portability, or Deletion of Your Personal Information. You may access, modify, or delete the personal information that you have provided to us by logging into your profile settings or emailing us at privacy@alegion.com with what you would like updated or corrected. You may request a restriction of processing, object to processing, or request the transfer of your data to another organization by emailing us at privacy@alegion.com. If you make a request, we have one month to respond to you. Please note that we may retain certain information about you as required by law or as permitted by law for legitimate business purposes, even after you have modified or deleted it. For example, if you request that we delete your information but we believe that you have violated our Acceptable Use Policy or Master Agreement we may retain information about you in order to attempt to resolve the issue before deleting it. We may also retain information for a period of time as part of our backup procedures.

Opting out of Marketing Emails. We may send periodic promotional and informational emails to you, about our Services and other third party products, services, or information we think may interest you. You may opt out of such communications by following the opt-out instructions contained in the email. Please note that it may take up to ten (10) business days for us to process opt-out requests. If you opt out of receiving promotional and information emails from us, we may still send you emails about your account or any Services you have requested or received from us.

Consent to Processing of Personal Data Outside of The EEA

If you are a resident of the European Economic Area (“EEA”), in order to provide our Site, Platform, products, and services to you, we may send and store your Personal Data outside of the EEA, including to the United States. Accordingly, your Personal Data may be transferred outside the country where you reside or are located, including to countries that may not or do not provide an adequate level of protection for your Personal Data.

By using our Services, you represent that you have read and understood the above and hereby consent to the storage and processing of Personal Data that you provide directly to us through our Services. To ensure your Personal Data is treated in accordance with this Privacy Policy, Alegion uses Data Protection Agreements between Alegion and all other recipients of your data that include, where applicable, the Standard Contractual Clauses adopted by the European Commission (the “Standard Contractual Clauses”). The European Commission has determined that the transfer of Personal Data pursuant to the Standard Contractual Clauses provides for an adequate level of protection of your Personal Data. Under these Standard Contractual Clauses, you have the same rights as if your data was not transferred to such third parties. You may request a copy of the Data Protection Agreement by contacting us through the contact methods below.

Children

OOur Services are not targeted to children under thirteen (13) years of age and we do not knowingly collect personal information from children under 13. If we discover that a child under 13 has provided us with personal information, we will promptly delete such personal information from our systems. If you believe we might have any information from or about a child under 13, please contact us at privacy@alegion.com

Data Retention Periods

Alegion will retain your personal data for the entire time that you keep your account open. After you close your account, we may retain your Personal Data:

  • for as long as necessary to comply with any legal requirement
  • on our backup and disaster recovery systems in accordance with our backup and disaster recovery policies and procedures
  • for as long as necessary to protect our legal interests or otherwise pursue our legal rights and remedies
  • for data that has been aggregated or otherwise rendered anonymous in such a manner that you are no longer identifiable, indefinitely
